Acceptance of Terms
By accessing, using, or registering for Foodify services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our services. These terms constitute a legally binding agreement between you and Foodify. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using Foodify on behalf of a business, you represent that you have the authority to bind that business to these terms.
Description of Service
Foodify provides AI powered restaurant management software and services, including but not limited to order taking through phone calls and WhatsApp, menu management, order processing, customer management, analytics, and related features. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice. We may add new features, change existing features, or remove features as we continue to improve our platform. We do not guarantee that our services will be available at all times or free from errors, interruptions, or defects.
Account Registration and Security
To use Foodify, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorized access or use of your account. You are solely responsible for all activities that occur under your account, whether authorized by you or not. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities. You may not share your account credentials with others or allow multiple users to access your account simultaneously unless you have a multi user subscription plan.
Acceptable Use
You agree to use Foodify only for lawful purposes and in accordance with these terms. You may not use our services to violate any applicable laws, regulations, or third party rights. You may not transmit any harmful code, viruses, or malicious software. You may not attempt to gain unauthorized access to our systems, interfere with service operations, or disrupt other users' access. You may not use our services to send spam, unsolicited messages, or engage in any form of harassment. You may not reverse engineer, decompile, or attempt to extract the source code of our software. You may not use automated systems to access our services without our prior written consent. Any violation of these restrictions may result in immediate termination of your account.
Payment Terms and Billing
Foodify offers various subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are non refundable except as required by law or as explicitly stated in our refund policy. You are responsible for providing accurate billing information and keeping it up to date. If payment fails, we may suspend or terminate your account. Prices are subject to change with 30 days notice to existing customers. You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We accept various payment methods as specified on our website. All fees are exclusive of applicable taxes, which you are responsible for paying.
Intellectual Property Rights
All content, features, functionality, software, and materials available through Foodify, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Foodify or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non exclusive, non transferable, revocable license to access and use Foodify for your internal business purposes in accordance with these terms. You may not copy, modify, distribute, sell, lease, or create derivative works based on our services without our prior written consent. Your restaurant data and content remain your property, but you grant us a license to use, store, and process that data to provide our services.
User Content and Data
You retain ownership of all data, content, and information you upload, submit, or transmit through Foodify, including menu items, customer information, and order data. By using our services, you grant Foodify a worldwide, royalty free, non exclusive license to use, store, process, and display your content solely for the purpose of providing and improving our services. You are solely responsible for the accuracy, legality, and appropriateness of all content you provide. You represent and warrant that you have all necessary rights to grant us this license and that your content does not infringe any third party rights. We reserve the right to remove or refuse to process any content that violates these terms or applicable laws.
Service Availability and Modifications
We strive to provide reliable and continuous service, but we do not guarantee that our services will be available at all times or free from errors, interruptions, or defects. We may perform scheduled or unscheduled maintenance that may temporarily interrupt service. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice. We are not liable for any loss or damage resulting from service interruptions, modifications, or discontinuations. We may change features, functionality, or user interfaces as we improve our platform. We will provide reasonable notice of significant changes that may affect your use of the services.
Third Party Services and Integrations
Foodify may integrate with or provide links to third party services, including payment processors, delivery platforms, POS systems, and other business tools. Your use of third party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the availability, accuracy, or content of third party services. We do not endorse or assume any responsibility for third party services. Any transactions or interactions between you and third parties are solely between you and the third party. We are not liable for any issues arising from third party integrations or services.
Termination
You may terminate your account at any time by canceling your subscription through your account settings or contacting our support team. We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these terms, engage in fraudulent activities, fail to pay fees, or for any other reason we deem necessary to protect our services or users. Upon termination, your right to use Foodify will cease immediately. We may delete your account data after a reasonable retention period, except where we are required to retain it for legal or regulatory purposes. Sections of these terms that by their nature should survive termination will remain in effect after termination.
Disclaimer of Warranties
Foodify is provided on an as is and as available basis. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non infringement, and accuracy. We do not warrant that our services will meet your requirements, be uninterrupted, timely, secure, or error free. We do not warrant that the results obtained from using our services will be accurate or reliable. We do not warrant that any defects or errors will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
Limitation of Liability
To the maximum extent permitted by law, Foodify and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, arising from or related to your use of or inability to use our services. Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount you paid to us in the twelve months preceding the claim. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Foodify and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising from or related to your use of our services, violation of these terms, infringement of any third party rights, or any content you submit or transmit through Foodify. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
Governing Law and Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Foodify operates, without regard to its conflict of law provisions. Any disputes arising from or related to these terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law. You agree to waive any right to a jury trial and to participate in class action lawsuits. Some jurisdictions may not allow the exclusion of certain rights, so some of these provisions may not apply to you.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page, updating the last modified date, and sending you an email notification if the changes significantly affect your rights or obligations. Your continued use of Foodify after such modifications constitutes acceptance of the updated terms.
